Chapter 1: General Provisions
Article 1: The name of the association shall be the Society of Safe Driving. (hereinafter referred to as "the Society")。
Article 2
This Association is a public‑interest social organization established in accordance with the law and not for profit, with the purpose of promoting safe driving.
Article 3
The missions of this Association are as follows, to be promoted and implemented in accordance with relevant laws and regulations:
To enhance the driving skills, safe‑driving practices, knowledge of vehicle electronic equipment and mechanical operating principles, as well as the correct methods and appropriate timing of use, for personnel of special units such as firefighting, disaster relief, and military organizations.
To promote public education on safe driving and driving etiquette.
To promote education on off‑road safe driving, off‑road driving etiquette, and ecological protection.
To promote international exchange of academic and technical knowledge regarding vehicle regulations and safe driving.
To promote education related to various international racing and off‑road racing activities.
Article 4
The competent authority of this Association shall be the Ministry of the Interior. The objectives and operations of this Association shall be subject to the guidance and supervision of the respective authorities in charge of the relevant affairs.
Article 5
The organizational jurisdiction of this Association shall cover the entire national administrative region.
Article 6
The principal office of this Association shall be located within the jurisdiction of the competent authority, and branch offices may be established upon approval by the competent authority.
The organizational guidelines for the branch offices shall be drafted by the Board of Directors and shall be implemented upon approval by the competent authority.
The addresses of the principal office and branch offices shall be reported to the competent authority for recordation upon establishment or change.
Chapter 2 Members, Directors and Supervisors
Article 7
The classifications of members, advisors, and membership fees of this Association are as follows:
The members of this Association are divided into two types: individual members and group members. Student members and honorary members are members in title only and shall not exercise the rights of members (or member representatives) at the General Assembly.
Individual Members:
Any person who agrees with the purposes of this Association and holds at least a driver’s license of a passenger‑car level, or anyone who has a strong passion for driving, may apply by submitting a membership application form. Upon approval by the Board of Directors and payment of fees, the applicant becomes an individual member.
‑ Entrance fee: NT$1,000 (payable upon admission).
‑ Annual fee: NT$1,000.
Group Members:
Any organization or group that agrees with the purposes of this Association may apply by submitting a membership application form. Upon approval by the Board of Directors and payment of fees, the applicant becomes a group member. A group member shall designate one representative, and each representative shall have the rights of one member.
‑ Entrance fee: NT$10,000 (payable when the representative joins).
‑ Annual fee: NT$10,000.
Student Members:
Any student of high school level or above who agrees with the purposes of this Association and is willing to learn and grow with the Association may apply by submitting a membership application form. Upon approval by the Board of Directors, the applicant becomes a student member.
Honorary Members:
Any individual or group who agrees with the purposes of this Association and, during their membership, has made outstanding contributions or achievements may, upon approval by the Board of Directors, become an honorary member.
Technical/Academic Advisors:
Any teacher, lecturer, associate professor, or professor at high school level or above, or anyone engaged in or retired from a profession related to vehicles, transportation, police, firefighting, disaster relief, or the military, and willing to provide professional expertise and knowledge to advance the Association, may, upon approval by the Board of Directors, serve as a technical or academic advisor. The term of office shall be the same as that of the Directors and Supervisors.
Sponsoring Advisors:
Any individual or group who agrees with the purposes of this Association and is willing to provide financial support to advance the operation of the Association may, upon approval by the Board of Directors, serve as an advisor. The term of office shall be the same as that of the Directors and Supervisors.
Article 8
The rights of members are as follows:
Members (or member representatives) shall have the rights to vote, to elect, to be elected, and to recall. Each member (or member representative) has one vote.
Student members, honorary members, and advisors do not have the rights specified in the preceding paragraph.
Article 9
The term of office of Directors and Supervisors shall be two years.
Article 10
This Association shall have nine (9) Directors (including three (3) Executive Directors, one of whom shall be the Chairperson) and two (2) Alternate Directors.
The Executive Directors shall be elected by all Directors.
The Chairperson shall be elected by all Directors from among the Executive Directors.
Article 11
This Association shall have three (3) Supervisors (including one (1) Executive Supervisor) and one (1) Alternate Supervisor.
The Supervisory Board shall elect the Executive Supervisor from among themselves to oversee daily affairs and serve as Chair of the Supervisory Board.
Article 12
Members shall abide by the Articles of Association, comply with resolutions, and pay membership fees.
Members who fail to pay membership fees shall not enjoy membership rights; those who fail to pay for two consecutive years shall be deemed to have withdrawn.
Members expelled, withdrawn, or suspended may apply for reinstatement or restoration of rights upon approval by the Board of Directors, provided they have a valid reason and settle all outstanding fees.
Article 13
Members (or member representatives) who violate laws, these Articles, or fail to comply with resolutions of the General Assembly may, upon resolution of the Board of Directors, be given a warning or suspension; those whose conduct seriously harms the Association may, upon resolution of the General Assembly, be expelled.
Article 14
Membership shall be terminated under any of the following circumstances:
Death.
Loss of eligibility as a member.
Expulsion by resolution of the General Assembly.
Article 15
Members may submit a written statement of reasons to withdraw from the Association.
Chapter 3 Organization and Duties
Article 16
The General Assembly of members shall be the highest authority of this Association.
When the number of members (or member representatives) exceeds 300, regional representation may be adopted, and member representatives shall be elected proportionally to convene the General Assembly.
The term, quota, and election procedures for representatives shall be decided by the Board of Directors and reported to the competent authority for recordation.
Article 17
The powers of the General Assembly (or Assembly of Member Representatives) are as follows:
To adopt and amend the Articles of Association.
To elect and recall Directors and Supervisors.
To determine the amounts and methods of entrance fees, annual fees, business fees, and member contributions.
To adopt the annual work plan, reports, budget, and final accounts.
To decide on the expulsion of members (or member representatives).
To decide on the disposition of properties, including sales, transfers, or creation of other rights.
To decide on the dissolution of the Association.
To decide on other major matters concerning members’ rights and obligations.
The scope of major matters in Item 8 shall be defined by the Board of Directors.
Article 18
Directors and Supervisors shall be elected by the members (or member representatives), forming a Board of Directors and a Board of Supervisors, respectively.
Alternate Directors and Alternate Supervisors may be elected simultaneously according to the vote counts, to fill vacancies as they arise.
The Board of Directors may propose a reference list of candidates for the next term.
Directors and Supervisors may be elected by correspondence; the method shall be decided by the Board of Directors and reported to the competent authority for recordation.
Article 19
The Chairperson shall supervise and direct the affairs of the Association internally and represent the Association externally, serving as Chair of the General Assembly and the Board of Directors.
If the Chairperson is unable to perform duties, one Executive Director shall be appointed as acting Chairperson; if not appointed, the Executive Directors shall elect one from among themselves.
If the Chairperson or an Executive Director’s position becomes vacant, a replacement election shall be held within one month.
Article 20
The powers of the Board of Directors are as follows:
To review and approve member (or member representative) qualifications.
To elect and recall Executive Directors and the Chairperson.
To decide on the resignation of Directors, Executive Directors, and the Chairperson.
To appoint and dismiss staff and advisors.
To draft annual work plans, reports, budgets, and final accounts.
To propose a reference list of candidates for the next term’s Directors and Supervisors.
To adopt and amend the implementation rules of the Articles of Association.
To handle other necessary matters.
Article 21
If the Executive Supervisor is unable to perform duties, a Supervisor shall be appointed as acting Executive Supervisor; if not appointed, the Supervisors shall elect one from among themselves.
If the Chair of the Supervisory Board (Executive Supervisor) position becomes vacant, a replacement election shall be held within one month.
Article 22
The powers of the Board of Supervisors are as follows:
To monitor the execution of work by the Board of Directors.
To review the annual final accounts.
To elect and recall the Executive Supervisor.
To decide on the resignation of Supervisors and the Executive Supervisor.
To handle other supervisory matters.
Article 23
Directors and Supervisors are unpaid and may be re‑elected.
The Chairperson may be re‑elected only once.
The term of Directors and Supervisors shall commence from the date of the first Board meeting of the current term.
Article 24
Directors and Supervisors shall be dismissed under any of the following circumstances:
Loss of member (or member representative) qualification.
Resignation approved by the Board of Directors or Board of Supervisors.
Recall or removal.
Suspension exceeding half of the term of office.
Article 25
The Association shall have one Secretary‑General, who shall handle Association affairs under the Chairperson’s direction, and other staff members as needed, whose appointment or dismissal shall be approved by the Board of Directors.
The above staff members shall not concurrently serve as Directors or Supervisors.
The duties and division of responsibilities of staff members shall be separately stipulated by the Board of Directors.
Article 26
The Association may establish various committees, working groups, or other internal units; their organizational guidelines shall be approved by the Board of Directors, and any amendments thereto shall follow the same procedure.
Article 27
The Association may appoint one Honorary Chairperson and several Honorary Directors or Advisors; their terms of appointment shall be the same as those of Directors and Supervisors.
Chapter 4 Meetings
Article 28
The General Assembly (or Assembly of Member Representatives) shall consist of regular meetings and extraordinary meetings, convened by the Chairperson. Except in emergencies requiring extraordinary meetings, all members eligible to attend shall be notified at least 15 days in advance.
Regular meetings shall be held once a year.
Extraordinary meetings may be convened when deemed necessary by the Board of Directors or upon request by more than one‑fifth of the members (or member representatives), or upon request by the Supervisory Board.
After the Association has completed corporate registration, extraordinary meetings may be convened upon request by more than one‑tenth of the members (or member representatives).
Article 29
If a member (or member representative) is unable to attend a General Assembly in person, they may authorize another member (or member representative) in writing to attend on their behalf, but each member (or member representative) may only represent one other person.
Article 30
Resolutions of the General Assembly (or Assembly of Member Representatives) require the attendance of more than half of the members (or member representatives) and the approval of a majority of those present, unless otherwise specified.
However, resolutions on the following matters require the approval of at least two‑thirds of those present:
Adoption or amendment of the Articles of Association.
Expulsion of members (or member representatives).
Recall of Directors or Supervisors.
Disposition of properties.
Dissolution of the Association.
Other major matters concerning members’ rights and obligations.
After the Association has completed corporate registration:
Amendments to the Articles of Association require the approval of at least three‑fourths of those present or written consent from at least two‑thirds of all members.
The Association may be dissolved by a resolution adopted by at least two‑thirds of all members at any time.
Article 31
The Board of Directors shall hold meetings at least once every six months, and the Board of Supervisors shall also meet at least once every six months. Joint meetings or extraordinary meetings may be held when necessary.
Except in emergencies requiring extraordinary meetings, all eligible attendees shall be notified at least seven days in advance. Resolutions shall require the attendance of more than half of the Directors or Supervisors and the approval of a majority of those present.
Article 32
Directors shall attend meetings of the Board of Directors, and Supervisors shall attend meetings of the Board of Supervisors; attendance by proxy is not permitted.
Board and joint meetings may be held by video conference. Directors and Supervisors attending such video conferences shall be deemed present in person, and sign‑in and voting procedures shall be handled in accordance with the functions of the video equipment.
However, matters involving elections, by‑elections, recalls, or adoption of organizational regulations shall not be handled by video conference.
Any Director or Supervisor who is absent without cause for two consecutive meetings shall be deemed to have resigned.
Chapter 5 Finance and Accounting
Article 33
Sources of funds for this Association are as follows:
Entrance fees.
Annual membership fees.
Business fees.
Member contributions.
Commissioned income.
Funds and interest accrued therefrom.
Other income.
Article 34
The fiscal year of this Association shall follow the calendar year, from January 1 to December 31 each year.
Before the start of each fiscal year, the Board of Directors shall prepare the annual work plan and budget, and within three months after the end of each fiscal year, shall prepare the work report and financial statement for the previous year. These shall be submitted to the Supervisory Board for review and then returned with comments to the Board of Directors, and then submitted, together with the current year’s work plan and budget, to the General Assembly (or Assembly of Member Representatives) for approval and reporting to the competent authority for recordation.
If the General Assembly cannot be convened as scheduled, the documents may first be approved by the Board of Directors and the Board of Supervisors or a joint meeting of both, and later presented to the General Assembly for ratification before being reported to the competent authority.
Article 35
Upon dissolution of this Association, any remaining assets shall be turned over to the local self‑governing body of the Association’s location or to an organization designated by the competent authority.
If the Association has completed corporate registration, the selection of liquidators and the liquidation procedure shall be governed by the Civil Code unless otherwise prescribed by law. If the Association has not completed corporate registration, the procedure shall follow a resolution of the General Assembly (or Assembly of Member Representatives); if no resolution can be reached, the Chairperson shall serve as liquidator, and the provisions of the Civil Code shall apply mutatis mutandis.
Chapter 6 Supplementary Provisions
Article 36
Matters not provided for in these Articles shall be handled in accordance with the implementation rules of this Association and relevant laws and regulations.
Article 37
These Articles shall come into effect after approval by the General Assembly (or Assembly of Member Representatives) and recordation with the competent authority. Amendments shall follow the same procedure.
Article 38
These Articles were adopted by the 1st General Assembly of Members of this Association on October 31, 2023.
